Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Helpful Labs, Inc. (the “Company,” “we,” “our,” “us”), including our mobile application (the “App”), website, and related features (collectively, the “Services”), you (“you,” “your,” “User”) agree to be bound by these Terms of Use (the “Terms”) and our Privacy Policy. If you do not agree to all the Terms, do not use or access the Services.

2. Definitions

“User Content” — any content, information, messages, data or material that you submit, upload, post, or otherwise transmit via the Services.

“Confidential Information” — personal, sensitive, or health-related information, including but not limited to therapy notes, session data, relationship history, health data, or any other data you provide.

“Prohibited Conduct” — any use of the Services that violates these Terms, applicable laws, or the rights of others (see Section 6).

3. Use of the Services

3.1 License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use.

3.2 Eligibility. The Services are intended for adult users (18+). By using the Services, you represent and warrant that you are at least 18 years old.

3.3 User Responsibility. You are responsible for maintaining the confidentiality of your login credentials (if any), and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

3.4 Prohibited Use. Without limiting the generality of the above, you agree not to:

Use the Services for any unlawful or harmful purpose.

Attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to extract source code or underlying algorithms.

Upload or transmit content that is defamatory, obscene, abusive, harassing, or in violation of any right of a third party.

Record, replicate, distribute sessions, materials, or content from the Services without explicit written permission.

Use the Services in a way that interferes with their normal operation or disrupts others’ use.

Violation of any provision in this Section shall result in immediate termination of your license to use the Services.

4. Intellectual Property

All content, features, functionality, software, design, and materials made available through the Services are the exclusive property of Helpful Labs, Inc. or its licensors. You may not copy, reproduce, distribute, modify, create derivative works, publicly display, or otherwise use any portion of the Services except as expressly authorized under these Terms.

5. Medical / Therapeutic Disclaimer & No Clinical Relationship

The Services are not a substitute for professional therapy, medical care, crisis intervention, or emergency services. Use of the Services does not create a therapist-client relationship between you and Helpful Labs, Inc. or any of its employees or partners.

If you are in crisis, experiencing suicidal thoughts, self-harm, or a medical emergency, please contact qualified medical or mental health professionals (e.g., call 911 in the U.S. or visit your nearest emergency department) rather than relying on the App.

6. Disclaimers; Limitation of Liability

6.1 No Warranty. The Services are provided “as is” and “as available,” without warranties of any kind, either express or implied. We do not warrant that the Services will be error-free, uninterrupted, or secure.

6.2 Limitation of Liability. To the maximum extent permitted by law, Helpful Labs, Inc. and its affiliates, officers, employees, agents, licensors or partners shall not be liable for any indirect, incidental, special, consequential or punitive damages (including loss of data, profits, or goodwill), arising from your use of (or inability to use) the Services, even if we have been advised of the possibility of such damages.

6.3 Indemnification. You agree to indemnify and hold harmless Helpful Labs, Inc. and its affiliates from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Services, violation of the Terms, or infringement by your User Content.

7. Modifications to Terms or Services

We may modify these Terms at any time. When we do, we will update the “Last Updated” date and provide notice (e.g., via the App, email, or our website). Your continued use of the Services after such notice constitutes acceptance of the updated Terms. We may also modify or discontinue any aspect of the Services, temporarily or permanently, at our sole discretion.

8. Termination

We may suspend or terminate your access to the Services at any time, for any reason (including your breach of these Terms), without prior notice. Upon termination, your right to use the Services ceases immediately. Sections covering Intellectual Property, Disclaimers & Limitation of Liability, Indemnification, and miscellaneous provisions will survive.

9. Governing Law & Dispute Resolution

These Terms shall be governed by and construed under the laws of the state of [State] without regard to conflicts of law principles. Any disputes arising under or in connection with these Terms shall be resolved in the courts located in [County/State], and you consent to the personal jurisdiction of such courts.
